1. About these terms
1.1 The Website is operated by Shardhan Corporate Consultants LLP ("Shardhan Consultants", "we", "us", "our"), a limited liability partnership registered in India under the Limited Liability Partnership Act, 2008 (LLPIN LLPIN), with its headquarters at Anish Kunj, East Patna Central School Chauraha, Sampatchak, Patna, Bihar – 800027, India (registered office per LLP records: Registered office address, if different from headquarters).
1.2 By using the Website you agree to these terms. If you do not agree, please do not use the Website.
1.3 These terms are an electronic record under the Information Technology Act, 2000 and the rules made under it. They do not need a physical or digital signature.
1.4 These terms should be read together with our Privacy Policy, Cookie Policy, Disclaimer and Copyright and Hyperlinking Policy.
1.5 The Shardhan Compliance Portal (client and team sign-in) is governed by its own terms and privacy notice and by each client's engagement letter. These terms do not apply to it.
2. Information only; no professional advice
2.1 The Website gives general information about Shardhan Consultants, our services, and legal, tax, regulatory and business topics. It includes compliance calendars, explainers, due dates, rates, thresholds and articles ("Content").
2.2 The Content is not legal, tax, accounting, financial, investment or other professional advice. It is not tailored to your circumstances, may not reflect the latest changes in law, and should not be relied on as a substitute for advice from a qualified professional.
2.3 Laws, rates, due dates and government notifications change often, sometimes with retrospective effect. Before you act, check the official source (for example the Gazette of India, the Ministry of Corporate Affairs, CBDT, CBIC, GSTN, RBI, EPFO or ESIC) and take specific advice.

3. No client relationship until an engagement letter is signed
3.1 Using the Website, sending an enquiry, emailing or messaging us, or talking to us at a preliminary meeting does not create a client, advisory or fiduciary relationship between you and Shardhan Consultants.
3.2 A client relationship begins only when both parties have signed an engagement letter (or other written agreement) setting out the scope, fees and terms of our work.
3.3 Until then, please do not send confidential or time-sensitive information. We will not treat an enquiry as an instruction, and no deadline will be treated as protected because you contacted us.
3.4 If these terms conflict with a signed engagement letter, the engagement letter prevails for the services it covers.
4. Using the Website
4.1 You may browse the Website, and view, download and print Content, for your own information or for internal use within your organisation, provided you keep all copyright and other notices intact. Re-use beyond this is governed by our Copyright and Hyperlinking Policy.
4.2 We may change, suspend or withdraw any part of the Website at any time without notice. We do not guarantee that the Website will be available, uninterrupted or free of errors.
4.3 Tools on the Website, such as calendars, calculators, text-size and contrast controls and translation, are provided for convenience. Machine translations (through Google Translate) are produced automatically and may be inaccurate. The English version is the authoritative text.
5. Intellectual property
5.1 The Website and its Content, including text, compilations, calendars, graphics, logos, icons, photographs, layout, and software code, are owned by or licensed to Shardhan Consultants. They are protected by the Copyright Act, 1957, the Trade Marks Act, 1999 and other laws.
5.2 "Shardhan", "Shardhan Consultants" and the Shardhan logo are trade names and marks of Shardhan Corporate Consultants LLP confirm trade mark registration status / application number. You may not use them without our written permission, except to refer to us accurately.
5.3 Statutory texts, government notifications and forms reproduced or linked on the Website belong to the Government of India or the relevant authority. Our summaries, commentary and compilations of them are our own work.
5.4 Nothing in these terms transfers any intellectual property to you.
6. Prohibited use
6.1 You must not:
- use the Website for any unlawful, fraudulent or harmful purpose, or in breach of these terms;
- copy, scrape, harvest or data-mine the Website or its Content by automated means (including to train machine-learning or AI models), except for normal search-engine indexing that follows our robots.txt file;
- reproduce, republish, frame or sell Content, or present it as your own, except as allowed by our Copyright and Hyperlinking Policy;
- try to gain unauthorised access to the Website, its servers or the Compliance Portal, or probe, scan or test their vulnerability (please report security issues to us instead; see clause 6.2);
- introduce viruses, malware or other harmful code, or overload or disrupt the Website (for example, through denial-of-service attacks);
- send spam, unsolicited promotions or abusive, defamatory, obscene or threatening material through the enquiry form or our contact channels;
- impersonate any person or misrepresent your connection with any person or organisation, including Shardhan Consultants; or
- do anything that would be an offence or contravention under the Information Technology Act, 2000 or any other law.
6.2 Security reports. If you find a security vulnerability, please email legal@shardhanconsultants.com with the details. Do not access, change or delete data belonging to others.
6.3 We may block access, remove submissions and report unlawful activity to the authorities.
7. Your submissions
7.1 When you send us an enquiry or other information, you confirm that it is accurate, that you are entitled to share it, and that it does not infringe anyone's rights.
7.2 We handle personal data in your submission as described in our Privacy Policy. We are not obliged to reply to every enquiry or to accept any engagement.
8. Links and third-party services
8.1 The Website links to government portals and other third-party websites, and uses third-party services such as Google Fonts, Google Translate and WhatsApp. We provide these for convenience. We do not control them and are not responsible for their content, availability, security or privacy practices. Your use of them is governed by their own terms.
8.2 A link is not an endorsement. Our approach to links is set out in our Copyright and Hyperlinking Policy.
9. Disclaimer of warranties
9.1 The Website and Content are provided "as is" and "as available". To the fullest extent the law allows, we make no warranty, express or implied, about their accuracy, completeness, currency, fitness for a particular purpose, or freedom from viruses or other harmful components.
10. Limitation of liability
10.1 To the fullest extent the law allows, Shardhan Consultants, its partners, employees and agents are not liable for any loss or damage arising from:
- your use of, or inability to use, the Website;
- any reliance on Content, including any error, omission or out-of-date information; or
- any third-party website or service linked from or used on the Website.
10.2 In particular, we are not liable for indirect, incidental, special or consequential loss, or for loss of profit, revenue, business, goodwill or data, or for penalties, interest or late fees incurred because a date or rate on the Website was relied on without checking the official source.
10.3 If we are found liable despite clauses 10.1 and 10.2, our total liability arising out of your use of the Website is limited to INR Liability cap amount, e.g. 10,000.
10.4 Nothing in these terms limits liability that cannot be limited under Indian law, including liability for fraud, or your rights as a consumer under the Consumer Protection Act, 2019 where that Act applies.
10.5 Our liability for professional services is governed only by the relevant engagement letter.
11. Indemnity
11.1 You agree to indemnify Shardhan Consultants, its partners and employees against claims, losses, damages, costs and reasonable legal fees arising from your breach of these terms or your misuse of the Website, including any infringement of third-party rights.
12. Governing law and jurisdiction
12.1 These terms, and any dispute or claim arising out of or in connection with them or the Website, are governed by the laws of India.
12.2 Subject to clause 12.3, the courts at Governing-law city have exclusive jurisdiction.
12.3 Nothing in clause 12.2 prevents a consumer from bringing a complaint before a forum they are entitled to use under the Consumer Protection Act, 2019, or a Data Principal from approaching the Data Protection Board of India.
13. Changes to these terms
13.1 We may update these terms from time to time. The updated version takes effect when it is published on this page, with a new "Last updated" date. Please check this page regularly. If you continue to use the Website after a change, you accept the updated terms.
14. General
14.1 If any part of these terms is found unenforceable, the rest remains in force.
14.2 If we do not enforce a right at once, we have not waived it.
14.3 These terms are the entire agreement between you and us about your use of the Website. Engagement letters are separate agreements.
14.4 If these terms are translated, the English version prevails.
